Terms of Service

1. Agreement to Terms

By accessing or using SpideyInc's services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Services

SpideyInc provides:

• AI Strategy Consulting
• Custom AI Development
• AI Integration Services
• AI Training & Workshops

Specific services, deliverables, and timelines will be defined in individual project agreements.

3. Client Responsibilities

Clients agree to:

• Provide accurate information and requirements
• Respond to communications in a timely manner
• Provide necessary access and resources
• Make payments according to agreed terms

4. Payment Terms

Payment terms are specified in individual project proposals. Typically:

• 50% deposit before project start
• 50% upon completion and delivery
• Payment due within 14 days of invoice
• Late payments subject to 5% monthly interest

5. Intellectual Property

Upon full payment, clients receive ownership of custom-developed deliverables. SpideyInc retains rights to:

• Pre-existing frameworks and tools
• General methodologies and approaches
• Use project as case study (with permission)

6. Confidentiality

We maintain strict confidentiality of client information and project details. NDAs can be signed upon request.

7. Warranties & Limitations

Services are provided "as is" with no guarantees of specific business outcomes. We warrant that:

• Services will be performed professionally
• Deliverables will meet agreed specifications
• We follow industry best practices

Liability is limited to the amount paid for services.

8. Termination

Either party may terminate services with 30 days written notice. Client is responsible for payment of work completed to date.

9. Governing Law

These terms are governed by the laws of Kenya. Disputes will be resolved through arbitration in Nairobi, Kenya.
